Terms of service

These terms are between you, the business using Toastly, and Toastly (“we”), whose details are in section 10. Using Toastly means you accept them.

1. What Toastly is

Toastly is software for scheduling visits, issuing invoices and collecting payment. It is software only. It is not a bank, not a payment institution and not a payment processor.

2. You are the merchant of record

Payments from your customers are processed on your own Stripe account, under your own agreement with Stripe. You are the merchant of record for every one of them. The money belongs to you and settles to your bank on your Stripe payout schedule. We never hold, receive or control it.

Because you are the merchant of record, you are responsible for the services you supply, for refunds, for chargebacks and for disputes, including a claim your customer makes through their bank about a bank debit under the rules of that scheme: the Direct Debit Guarantee in the United Kingdom, the Nacha rules in the United States. You are responsible for your own tax, including VAT or sales tax where it applies to you.

3. Your account

One login per business. You are responsible for keeping access to the email address the account signs in with, and for the accuracy of what you record about your customers.

4. Subscription, fees and the payment fee

Plans are billed monthly in advance. The first month is charged at half price. Prices are shown inclusive of VAT in the United Kingdom and exclusive of sales tax in the United States, where sales tax is added at checkout only where we are registered to collect it.

In addition, a payment fee of 0.5% on Standard or 0.2% on Pro applies to money collected through the Stripe integration. It is deducted from your Stripe payout and is never added to your customer’s bill, with one exception: when your customer adds a tip, the payment fee on that tip is added to what they pay, so Toastly takes nothing from the tip; Stripe’s own processing fee applies to it as it does to the rest of the payment. Money you take in cash, by bank transfer or that you mark paid manually carries no payment fee.

Stripe’s own processing fees are separate and are charged to you by Stripe under your agreement with them.

5. Cancellation and the money-back guarantee

You may cancel at any time from the billing portal; your plan runs to the end of the period you have paid for. If you email support@toastly.ai within 30 days of your first payment we refund that payment in full.

If a subscription payment fails, we email you and Stripe retries for up to 14 days. After that the account becomes read-only: your schedule and your clients stay visible, and exports keep working, but no new invoices issue and no collection runs.

6. Your data

Your data is yours. You can export it while your account is active. After cancellation we retain it for 90 days so you can come back or export, then delete it. How we handle personal data is set out in the privacy policy.

7. Acceptable use

Do not use Toastly to invoice for anything unlawful, to send unsolicited marketing to people who are not your customers, or to attempt to gain access to another business’s data.

8. Availability and liability

We work to keep Toastly available but do not guarantee uninterrupted service. Our total liability to you arising in any twelve-month period is limited to the subscription fees you paid us in that period. We are not liable for loss of profit, loss of business, loss of data or any indirect or consequential loss. We are not party to, and are not liable for, payments between you and your customers, which are governed by your agreement with Stripe. Nothing in these terms limits liability that cannot lawfully be limited.

9. Changes

We may change these terms. Material changes are emailed to you at least 30 days before they take effect, and you may cancel before then.

10. Law and contact

These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.

11. United States

This section applies if your business is in the United States, and where it conflicts with the sections above it takes precedence.

Governing law and venue. These terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules, and any dispute is brought in the state or federal courts located there. Each of us waives a jury trial to the extent the law allows. Nothing in this section limits rights you have under the consumer protection law of the state where you live that cannot be waived by agreement.

Bank debits. When a customer sets up autopay by ACH Direct Debit, Stripe collects their authorization on your Stripe account and you are the originator of every debit under the Nacha operating rules. You are responsible for keeping that authorization, for the notice your customer receives before each debit, and for returns and unauthorized-debit claims, which Stripe charges to your account. Toastly schedules each collection no sooner than ten calendar days after the invoice that states its amount and date is emailed, so that the invoice serves as the notice, and it records the authorization your customer gave. A customer may revoke an authorization by telling you or their bank, and Toastly stops collecting when it is told.

Cards. Card payments from your customers are charged on your Stripe account under Stripe’s terms and the card networks’ rules. Toastly never adds its payment fee on an invoice to your customer’s bill and does not support surcharging; the payment fee on a tip is charged to the customer on every payment method alike.

Sales tax on your invoices. Toastly does not calculate, look up, collect or remit sales tax on the invoices you send. If you charge sales tax you enter one flat rate, and you are responsible for whether it applies, for the rate, and for filing and paying it.

Sales tax on your subscription. Your plan price excludes sales tax. Where we are registered to collect it, Stripe adds it at checkout and your receipt shows it as its own line.

Disclaimer. To the fullest extent permitted by law, Toastly is provided “as is” and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Section 8 states the limit of our liability; some states do not allow some of these limits, in which case they apply to you only as far as that state allows.
